Professor Afra Afsharipour Comments for Bloomberg Law
Professor Afsharipour, an expert in transactional and corporate law, offered analysis of a case filed against the telecommunications company Qualcomm for Bloomberg Law. The article states that the, "complaint filed late March 8 in Delaware Chancery Court accuses the chipmaker’s 11 sitting directors of using the U.S. government to block a board election and entrench themselves.”
The lawsuit alleges that Qualcomm Board of Directors conspired to prevent losing their seats in the board election by seeking to have the Committee on Foreign Investment in the U.S. (CFIUS) postpone the long-standing annual meeting of Qualcomm stockholders.
Afsharipour said this lawsuit could be the beginning of more to come. A complaint could also be brought against Qualcomm for violating disclosure requirements under federal securities laws.
Professor Afsharipour’s areas of research include comparative corporate law and governance, mergers and acquisitions, and transactional law.
