Professor Imwinkelried to Present at University of Northumbria Conference on Legal Privileges

On April 26, the University of Northumbria's Centre for Evidence and Criminal Justice Studies will host a program on legal advice (attorney-client) privilege and litigation privilege (work product immunity). The presenters will include faculty members from Cambridge University, King's College London, Newcastle University, and Northumbria University. 

Professor Ed Imwinkelried will be the only American speaker. He will discuss the expansion of work product immunity in the United States to include white knight and business strategy immunities. These immunities apply when, after an acquiror makes a hostile tender offer, a target company's board collects data about the value of its stock and/or initiates discussions with a third party white knight which might be willing to pay more than the tender offer. The American courts have recognized these immunities to enable the target company to protect its shareholders by negotiating for a premium price for their stock. To date, the English courts have not taken this step.
