Collateralized Finance: Lender’s Rights and Debtor’s Collateral

Discussion – 2 units. This is an advanced contracts course. Most business loans are secured financing transactions in which a lender provides financing in exchange for a lien on the borrower’s collateral. These liens are referred to as security interests under Article 9 of the Uniform Commercial Code. Article 9 of the Uniform Commercial Code governs the attachment (creation), perfection and enforcement of security interests in most types of personal property (collateral). A creditor may repossess or foreclose on collateral to enforce its rights in secured financing transactions. This course will explore several topics related to secured financing transactions under Article 9 of the Uniform Commercial Code, including but not limited to, attachment, perfection, priority, default, foreclosure and repossession.
